Please take the time to read the following terms and conditions thoroughly, as they outline the responsibilities of both parties in the contractual agreement between you, the Exhibitor, and Grit Expositions. The acceptance of these terms and conditions is established in the following instances:

• - Your signature on the Payment Authorization Form;
• - Your placement of an online order;
• - Your placement of an order for labor, services, and/or rental equipment with Grit Expositions;
• - Your employment of labor through Grit Expositions.
• DEFINITIONS:

Throughout the contract, the name Grit Expositions shall be used to refer to Grit Expositions as a company, as well as its employees, officers, agents, assigns, affiliated companies, and related entities, which may include subcontractors appointed by Grit Expositions. The term Exhibitor, on the other hand, shall refer to you, the exhibitor, including your employees, agents, representatives, and any Exhibitor Appointed Contractor (EAC).

PAYMENT TERMS:

Full payment, including applicable tax, is due in advance or at show site. In case of a refund based on overpayment of a check, a $50.00 administrative fee shall be applied. All payments must be made in U.S. funds, and all checks must be drawn on a U.S. Bank. Orders received without advance payment or after the deadline will incur additional charges based on the standard rates indicated in the order form. Unless otherwise specified, all materials and equipment are considered rental items for the duration of the event or show and remain the property of Grit Expositions. In the case of a cancellation, a one hour charge shall apply per person, per hour, for all labor orders not canceled in writing at least 24 hours prior to the scheduled start time. Any Grit Expositions rental items will incur a 100% cancellation fee if services have already been provided at the time of cancellation. It is the Exhibitor’s responsibility to communicate any issues with their orders to Grit Expositions personnel and to verify the accuracy of their invoices before the close of the exhibit. Additionally, if the Exhibitor is exempt from paying sales tax, Grit Expositions requires a valid exemption certificate for the state in which the services will be used. Resale certificates are only valid if the Exhibitor is rebilling the charges to their customers. For international Exhibitors, a 100% prepayment of advance orders is required, and any orders or services placed at show site must be paid at the event. For everyone else, if there's a pre-approved unpaid balance after the show closes, the terms will be net 15 due and payable in Grapevine, Tarrant County, Texas upon receipt of invoice. If any balance remains unpaid 15 days after the invoice date, it will accrue a Finance Charge which is the lesser of the maximum rate allowed by applicable law, or 1.5% per month, which is equivalent to an Annual Percentage Rate of 18%. All future orders shall be on a pre-paid basis only. If the finance charge hereunder exceeds the maximum rate allowed by law, Grit Expositions shall automatically reduce the finance charge to the maximum rate allowed. Any excess finance charge received by Grit Expositions shall either be applied to reduce the principal unpaid balance or refunded to the payer. These payment terms are governed by and construed in accordance with the Laws of the State of Pennsylvania. No matter the dispute between the Exhibitor and Grit Expositions relative to any loss, damage, or claim, the Exhibitor is not entitled to and shall not withhold payment, or any partial payment, due to Grit Expositions as an offset against any alleged loss or damage. Any claim against Grit Expositions shall be considered a separate transaction and shall be resolved on its own merits. Grit Expositions reserves the right to charge the Exhibitor for the difference between the Exhibitor's estimate of charges and the actual charges incurred by the Exhibitor. This includes any charges that Grit Expositions may be obligated to pay on behalf of the Exhibitor, including any shipping charges. If an Exhibitor's credit card charges are rejected by the Exhibitor's credit card company for any reason, Grit Expositions reserves the right to continue to attempt to secure payment through that credit card for as long as unpaid balances remain on the Exhibitor's account. Grit Expositions and the Exhibitor agree that the venues for any disputes shall lie exclusively in the Federal or State Courts located in Tarrant County, Texas.
